1. Agreement to Terms

By accessing or using Nukpay ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you do not have permission to access the Service.

2. Description of Service

Nukpay is a cloud-based invoicing and document management platform that enables users to create, send, and manage professional invoices, estimates, contracts, and other business documents. The Service includes features such as online payments, automated reminders, time tracking, and client management.

3. User Accounts

To use certain features of the Service, you must register for an account. When you register, you agree to:

Provide accurate, current, and complete information
Maintain and promptly update your account information
Maintain the security and confidentiality of your login credentials
Accept responsibility for all activities under your account
Notify us immediately of any unauthorized use of your account

4. Subscription and Billing

Some features of Nukpay require a paid subscription. By subscribing to a paid plan:

You authorize us to charge your payment method on a recurring basis
Subscriptions automatically renew unless cancelled before the renewal date
Prices may change with 30 days prior notice
You are responsible for all applicable taxes

5. Acceptable Use

You agree not to use the Service to:

Violate any applicable laws or regulations
Infringe on intellectual property rights of others
Transmit harmful, fraudulent, or deceptive content
Attempt to gain unauthorized access to our systems
Interfere with the proper functioning of the Service
Use the Service for any illegal or unauthorized purpose

6. Intellectual Property

The Service and its original content, features, and functionality are owned by Nukpay and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You retain ownership of any content you create using the Service.

7. Data and Privacy

Your use of the Service is also governed by our Privacy Policy. You acknowledge that you have read and understood our Privacy Policy and consent to our collection, use, and disclosure of your information as described therein. You are responsible for ensuring that your use of the Service complies with applicable data protection laws.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NUKPAY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination, your right to use the Service will cease immediately. You may terminate your account at any time through your account settings.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Brazil. Any disputes arising under these Terms shall be resolved exclusively in the courts located in São Paulo, SP, Brazil.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of any material changes by posting the new Terms on this page and updating the "Last updated" date. Your continued use of the Service after such changes constitutes acceptance of the new Terms.
